1. Application of These Terms
These Terms of Sale (“Terms”) apply to all sales of artworks and related goods by Lower Slopes Limited (“the Gallery”, “we”, “us”, “our”), whether purchased online, in person, by invoice, through exhibitions, or by private sale.
2. Contract Formation
The display of artworks on our website, social media, or within exhibitions does not constitute a binding offer to sell. A contract is formed only once we confirm availability and accept your order in writing or upon receipt of cleared payment. The Gallery may act either as principal seller or as agent on behalf of the artist.
3. Artwork Information
We endeavour to ensure that all artwork descriptions, dimensions, media details, framing information and images are accurate. Colours, textures and finishes may vary slightly from digital representations, and minor variations or imperfections inherent to original or handmade works shall not constitute defects.
4. Authenticity and Provenance
The Gallery represents artworks as authentic to the best of its knowledge and belief. Certificates of authenticity or provenance documentation may be provided where applicable.
5. Pricing and VAT
All prices are stated in Pounds Sterling (GBP). Prices do not include shipping, insurance, framing, customs duties, import taxes or local charges unless expressly stated. Lower Slopes Limited is not currently VAT registered.
6. Payment
Payment is due in full prior to release or delivery of artworks unless otherwise agreed in writing. We accept payment by bank transfer, debit card, credit card or other approved methods. The Gallery reserves the right to refuse or cancel any order prior to dispatch.
7. Retention of Title
Ownership of artworks remains with the Gallery and/or artist until payment has been received in full and cleared funds have been confirmed.
8. Shipping, Delivery and Collection
Collection and shipping arrangements will be agreed with the purchaser following sale confirmation. Delivery times are estimates only and cannot be guaranteed. Shipping and insurance costs are the responsibility of the purchaser unless otherwise agreed in writing. Risk in the artwork passes to the purchaser upon collection or confirmed delivery.
9. International Shipments
Collectors purchasing artworks for international delivery are responsible for all customs duties, import taxes, local charges and compliance with applicable import regulations.
10. Exhibition Collections
Where artworks are purchased from exhibitions, collection may only take place after the close of the exhibition unless otherwise agreed. If artworks are not collected within fourteen days of the agreed collection date, the Gallery reserves the right to charge reasonable storage fees and/or arrange return shipment at the purchaser’s expense.
11. Damage in Transit
Any damage sustained in transit must be reported to the Gallery within forty-eight (48) hours of delivery together with photographic evidence of the damage and packaging. Failure to notify within this period may affect the ability to claim against couriers or insurers.
12. Cancellation and Returns
Purchasers acting as consumers may have statutory cancellation rights under English consumer protection law for certain online purchases. Nothing in these Terms limits those statutory rights. Except where required by law, all sales are final following collection or delivery. Returns will only be accepted where artworks are materially damaged, materially misdescribed, or otherwise required by law.
13. Condition of Returned Works
Where a return is accepted, artworks must be returned in the same condition in which they were delivered. The purchaser is responsible for return shipping costs and appropriate transit insurance unless otherwise agreed.
14. Copyright and Intellectual Property
Copyright and all intellectual property rights in artworks remain with the artist unless expressly assigned in writing. The purchase of an artwork does not grant any rights of reproduction, publication, merchandising or commercial exploitation.
15. Artist Representation
The Gallery may act as consignee and sales agent on behalf of artists. Nothing in these Terms transfers artist copyright or moral rights to the purchaser.
16. Future Finance or Instalment Schemes
The Gallery may from time to time offer third-party finance or instalment payment schemes subject to separate eligibility criteria and additional terms.
17. Anti-Money Laundering Compliance
The Gallery reserves the right to request identification, proof of address or other documentation where reasonably required to comply with anti-money laundering obligations or other legal requirements.
18. Privacy
Personal information provided to the Gallery will be processed in accordance with applicable UK data protection legislation and the Gallery’s Privacy Policy.
19. Limitation of Liability
To the fullest extent permitted by law, the Gallery shall not be liable for indirect, incidental or consequential losses arising from the purchase, delivery or ownership of artworks. The Gallery’s total liability in connection with any sale shall not exceed the purchase price paid for the artwork concerned.
20. Force Majeure
The Gallery shall not be liable for delays or failure to perform obligations arising from events beyond its reasonable control, including but not limited to transport disruption, natural disaster, industrial disputes, pandemic, governmental action or failure of suppliers or couriers.
21. Governing Law
These Terms are governed by the laws of England and Wales. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
